1. Acceptance of Terms

By accessing or using DomDashy (the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the new Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such modifications will constitute your acknowledgment and agreement to the modified Terms.

2. Description of Service

DomDashy is a domain management platform that allows users to track domain expirations, renewal/health status, and manual auction watchlist opportunities.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to terminate your account or restrict access to the Service if you violate these Terms or if we determine, in our sole discretion, that your use of the Service poses a risk to the Service or other users.

4. Plans, Limits, and Payment

DomDashy currently offers enforced MVP plan limits: Free includes up to 10 domains and 3 active auction watchlist items, Pro includes up to 250 domains and 100 active auction watchlist items, and Agency includes up to 2,000 domains and 500 active auction watchlist items.

Payment integration is not enabled yet. During the MVP period, paid plan assignment, downgrades, and cancellations are handled manually by an administrator after direct agreement with support.

If your account reaches its plan limits, you may need to remove existing items or request an upgrade before adding more domains or active auction watchlist items.

We reserve the right to change plan limits or fees with reasonable notice on the Service or by email.

5. User Content

The Service may allow you to submit, upload, publish, or otherwise make available content, including but not limited to text, photographs, and domain information ("User Content").

By making any User Content available through the Service, you grant us a non-exclusive, transferable, sublicensable, worldwide, royalty-free license to use, copy, modify, create derivative works based upon, distribute, publicly display, and publicly perform your User Content in connection with operating and providing the Service.

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary rights to post your User Content, and that your User Content does not violate the rights of any third party or any applicable law.

6. Prohibited Conduct

You agree not to:

Use the Service for any illegal purpose or in violation of any applicable law
Violate or infringe other people's intellectual property, privacy, or other rights
Interfere with or disrupt the Service or servers or networks connected to the Service
Attempt to gain unauthorized access to the Service or other users' accounts
Use any robot, spider, crawler, scraper, or other automated means to access the Service
Bypass measures we may use to prevent or restrict access to the Service
Transmit any viruses, malware, or other types of malicious software
Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of DomDashy and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

8. Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by DomDashy. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DOMDASHY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SERVICE.

IN NO EVENT WILL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE DATE OF THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless DomDashy, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in San Francisco, California, using the English language in accordance with the Arbitration Rules and Procedures of JAMS then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
